RELEASE FOR AUDIO USAGE

I. ) The "Manufacturer"/Producer/Owner (herein referred to as "Manufacturer") _________________________, hereby represents and warrants that the ""Manufacturer"" has the legal right to grant the rights and licenses to Rock ‘n Retail, LLC/Web ‘n Retail; and the end user Company, for the following Audio Tracks:

II. ) That the "Manufacturer" has the legal right and authority to enter into this Agreement to air the above audio tracks by DJ's, Clubs and/or Podcasters that subscribe to the third party program for which they are being submitted

III.) The "Manufacturer"" warrants that the Music Audio track  is not slanderous, libelous obscene or indecent, does not infringe upon any statutory or common law copyright, and does not violate the privacy or any other right of any other person; that the "Manufacturer" has properly obtained and cleared for the uses provided for in this Agreement all rights and releases, including, but not limited to, talent releases and rights to all subsidiary works contained on the Music Audio track (such as, but not limited to, musical, publishing & literary  works); and that the "Manufacturer" has exercised reasonable care in producing or obtaining the Program so that the Program does not contain material which might result in liability for tortuous, negligent or criminal acts or omissions, invasion of privacy, violation of civil rights, infringement of any intellectual property rights or other property rights, testimonials that cannot be authenticated, disparagement of competitor's goods or ambiguous statements that may be misleading to the audience.  The "Manufacturer" hereby indemnifies and holds harmless hereunder Rock ‘n Retail, LLC/Web ‘n Retail and the end user Company, for any claims and expenses that may arise as a result of the use, as described herein, of any material contained on the Music Audio Track.

IV.)  The "Manufacturer" agrees that should any legal issues or litigation occur with regard to their authority to enter into this agreement, that any legal fees incurred will be the full responsibility of  the "Manufacturer" and that Rock ‘n Retail, LLC / Web ‘n Retail and the End User Company will be held harmless.

V.)  That there is no cost incurred by Rock ‘n Retail, LLC / Web ‘n Retail, or the End User Company, for use of this (these) Audio Tracks for the purposes stated in this agreement.

VI.) By signing this Agreement, "Manufacturer's" representative warrants that he has the necessary authority to enter into this Agreement on behalf of the "Manufacturer".

VII.) This agreement is entered into in Los Angeles County, California and is subject to the rules and restrictions of applicable laws within Los Angeles County, California
